Artist: Ciarra Chii - the creator of the Work

Client / Hiring Party: the purchaser of the Work.

Work: Any Live2D rigging, assets, graphics and files created by the Artist.

Final files: Exported files delivered to the client such as Live2D (.moc3, exp3.json, PNG texture, model3,json, whichever is needed for Vtube Studio), PNG, JPEG, Figma (.fig), PSD or AI.

Source files / Project files: Original editable files such as Live2D (.cmo3 and .can3), Affinity (.afdesign and .afphoto), Adobe Creative Cloud (PSD, AI, AEP, etc.), Figma (.fig)

AI: Adobe Illustrator. Not artificial intelligence.

Allowed Uses: Non-commercial and non-monetized only. Only for personal enjoyment.

Ownership: Artist retains all rights.

Credit: If publicly shown on social media or physically, then credit is required.

Allowed Uses: Streaming, monetized videos, content creation.

Ownership: Artist retains all rights.

Credit: Required where reasonable.

Allowed Uses: Commercial use in end products, merchandise, or branding.

Ownership: Artist retains all rights; only delivered files may be used.

Credit: Required where reasonable.

Licensee: Client

Allowed Uses: Ownership of final delivered files only. Source/project files remain property of the Artist. Commercial use allowed. Authorship remains with the Artist.

Credit: Required wherever the work is publicly used.

Restriction: No reselling or redistribution of delivered files as standalone assets.

Licensee: Client

Allowed Uses: Full ownership of all files including source/project files. The Client may resell, modify, redistribute, and commercially exploit the Work. Authorship remains with the Artist.

Credit: Required wherever the Work is publicly used unless otherwise agreed.

The Client and Artist must keep private information of both parties (example but not limited to name, address, mobile number, or any other personal details) strictly confidential.

The Artist provides originally designed assets (including but not limited to logos, overlays, and custom illustrations) created by the Artist.

The Client may not request the Artist to copy or replicate another artist’s style.

The Client may not trace, heavily reference, or reuse the Artist’s work in a way that infringes on the Artist’s rights.

The Client may not redistribute, sell, or use the Work for commercial purposes (including physical merchandise) without explicit permission. The Client may not edit, modify, trace, copy, create derivative works, mint/sell as NFTs, or upload to AI-generating services unless specifically agreed in writing by the Artist. The Client may not use the Work to spread hate, discrimination, violence, or content related to politics or religion. The Artist is not responsible for any backlash or consequences arising from such use.

The character design must be the Client’s original character or design. The Artist is not responsible for any backlash, disputes, or allegations arising from claims that the design was copied, traced, or otherwise infringed on third-party work.

The Artist reserves the right to decline any commission, with or without explanation.

The Artist retains authorship of all Work. The Client may not claim that they personally created the Work. Proper credit is required for public display or commercial use, unless waived in writing by the Artist. The Artist may display the Work in their portfolio or for self-promotional purposes, unless the Client requests otherwise in writing.

Except in cases of willful misconduct or gross negligence, neither the Artist nor the Client shall be liable to the other for any indirect, incidental, special, or consequential damages. The Artist’s total liability for any claim arising from or related to the Work shall not exceed the total amount of compensation actually paid to the Artist.

The Artist disclaims responsibility for any copyright or legal issues arising from the commissioned work or any issues that may occur in the future.

Any disputes should first be addressed through direct communication between the Client and the Artist. Governing law is the Philippines.

Once full payment is received and the project has started, the Client may not make major changes to the order or request a completely different project. Minor adjustments within the agreed scope may be accepted, subject to the Artist’s discretion and potential revision fees.

Only minor revisions are included in the base price. A completely different design compared to the initial concept is considered a major revision and will incur an additional charge.

Minor revisions are limited to three (3) rounds. For example, requesting three changes at once counts as one revision. Additional revisions beyond the limit will be charged based on the number of requested changes.

Sketch phase: Unlimited revisions are allowed.

Post-sketch: Only minimal changes are accepted once the sketch is approved. This includes simple recoloring or repositioning, as long as it does not require a complete redraw.

Changes that require scrapping or major alterations will incur additional revision fees.

Testing phase: Once the rig files are delivered, they are considered “for testing.” The Client may request revisions only for issues caused by the Artist’s mistakes.

Major overhauls or complete changes to the rig, or parts of it, will incur additional charges.

Commissions are handled on a first-come, first-served basis, but the Artist reserves the right to be selective. Priority is given to clients who pay for a rush fee.

The Client fills out the waitlist form and will be contacted within 1–3 business days. The Client must have all necessary information ready, such as reference sheets, mood boards, color palettes, scope of work, and any other relevant materials.

The Client will receive an invoice either through PayPal, proposal via VGen or an invoice for Wise payments. All prices are in USD.

The Client is responsible for paying additional fees (e.g., transaction fees, platform fees, currency conversion fees) and it will be included in the invoice.

Depending on the complexity of the project, license type, delivery date and/or number of deliverables, this may incur additional charges to the Client.

Clients requesting expedited delivery must pay a rush fee. Rush fees may increase depending on how soon the delivery is required and the current workload. The delivery timelines remain subject to unforeseen circumstances outlined in the Lead Time section.

If being added to the waitlist, the Client is required to pay 10% of the total project cost to reserve their slot. If the work is scheduled to begin soon, the Client is required to pay 50% of the total project cost before any work is started.

If the Client requests a different payment plan, both the Artist and the Client must discuss and agree on the terms before any payment is made.

Files will be delivered once payment is received. The Artist will provide proof of work upon request.

The Client may request updates on their commission, but reminders should be limited to avoid excessive messages.

Reservation fees are strictly non-refundable, regardless of whether either party cancels the commission.

Refunds are only available if no work has been started.

If the Artist fails to deliver the rush work on the agreed delivery date due to reasons within the Artist’s control, the Artist will refund the rush fee amount to the Client. The Artist is not responsible for delays caused by accidents, emergencies, or other circumstances beyond their control.

The Artist may cancel the project at any time. If the Artist cancels after payment, the Client will be refunded any amount paid for work not yet started.

The Client may request to cancel the project before work begins. Refunds will be subject to the Artist’s discretion, minus any fees incurred (e.g., platform fees, currency conversion fees) for work that has already been completed.

Any disagreements regarding refunds or termination should first be addressed through direct communication between the Client and the Artist.

The Client agrees not to initiate chargebacks or payment disputes once the commission has been started or files have been delivered.

Unauthorized chargebacks or disputes after work has begun or files have been delivered will be considered a breach of these Terms of Service.

In the event of a chargeback or dispute, the Artist reserves the right to 1) provide proof of work, communication records, and these Terms of Service to the payment processor or platform, 2) revoke the Client’s license to use the Work and 3) decline any future commissions from the Client.

Any chargeback fees, penalties, or losses incurred by the Artist due to a dispute initiated by the Client may be deducted from any applicable refund or billed to the Client.

Legitimate payment disputes arising from fraud or unauthorized transactions must be communicated to the Artist as soon as possible.

Final files will be delivered once the required payment has been received. Proof of work will be provided prior to final delivery.

The Client will only receive the files required for their selected license type. Source files or additional formats will not be provided unless explicitly stated and agreed upon in writing.

The Artist will keep backup copies of source files for a limited time in case the Client loses their final files.

The Artist is not responsible for permanent loss of files due to factors beyond their control (e.g., hardware failure, platform issues, force majeure).

The project will be delivered within the timeframe mutually agreed upon by both parties. Please note that projects involving Live2D model art and rigging may span several months, depending on factors such as design complexity, number of toggles, revisions, and personal circumstances.

Both parties are expected to respond in a timely manner. The Artist is not responsible for delays caused by the Client’s lack of communication or delayed responses.

In the event of unforeseen circumstances such as illness, emergencies, or other personal matters, delivery timelines may be extended. The Artist will communicate any such delays promptly and will adhere to the terms outlined in the Refunds & Termination section.

Clear communication is required from both parties. The Artist maintains a zero-tolerance policy toward ghosting or persistent miscommunication.

If the Artist becomes unreachable for an extended period of approximately six (6) months, the Client may request a partial refund based on the progress of the work completed. 1) Refunds will be calculated proportionally based on completed work, 2) If the Live2D model artwork (PSD) has been completed but rigging has not, the Client may use the completed model art to commission another rigger and 3) Any refund will exclude fees for completed portions of the work.

Although there's a payment term/milestone split selection in the form, if you want a different split, please let me know. I cannot change the split on vgen once it has been paid.

Make sure to double check your order before sending them.

You will be informed beforehand before your commission starts.

For any additional orders, kindly let me know the details of your order. Please don't pay the additional order without informing me beforehand on websites like paypal or ko-fi unless you're tipping me. A Paypal invoice or VGen proposal (if you sent a request) will be sent to you.

Please be reminded that I am managing multiple commissions at once, but I will make every effort to provide timely updates on your project's progress. You may check my Work Queue or you can check on my VGen profile then on the left side there’s a button “Work Queue”

You are allowed add more information regarding your request. For example, providing more references, providing artwork png, adding socials and hashtags because you forgot to include in your request.

If you need to change part of your order, let me know. You may need to pay extra depending on what you're changing it to. For example, you ordered just chatting and game overlay but you want to change the game overlay to starting screen - this is ok!

Please double check your order and avoid having significant changes once you paid the project. Kindly note that changes can affect my monthly schedule and financial planning.

If you only paid the 10% non-refundable reservation fee, you are required to pay 40% of the project cost, full payment or whatever the agreed payment terms before I can start on your commission.

You will be notified via dms or by VGen automatically.

Projects have limited revisions. Read the terms of service for the revision policy. Revisions must be sent in "batches" and not one-by-one. For example, changing the eye color, skin tone and ribbon color will be considered as 1 revision batch.

While I encourage clients to either check my Work Queue or request updates as needed, I kindly ask that you limit the frequency to ensure I stay focused on delivering quality work.

Any additional work/order is okay but won't be prioritized depending on complexity of the request.

Kindly respond in a timely manner. I won't be responsible for any delays on deadlines due to poor communication.

Although your personal matters are important, I would appreciate if you can let me know that you can't work on the project currently & will get back to me soon. If I do not receive an update or response, your project will be automatically paused momentarily (don't worry, we'll resume once you're back!)

If you see your project progress in the work queue to be 80-90%, you're free to pay the rest of the project. I can also send a screenshot or video of the finished project before you pay. Please note that I will not be sending final files until the project is fully paid.

Please double check the files you received. If it's graphics, check if you received all the assets you requested. If it's live2d, test the model and see if there's any need to be fixed. Any mistakes in my part are free of charge but any additional request are subjected to additional fees.

If you prefer not putting my name on your panels, description or bio, I highly recommend making a carrd website where you can credit and list your artists.

If you commission a widget design, the coder has the freedom to animate the widgets however they want. However, they are not allowed to alter the design without prior permission.

Please do not resell, alter/modify/edit, redistribute and claim as your own work - unless stated and mutually agreed on.
